This Affiliate Program Agreement (“Agreement”) is entered into between Twin Lightning Digital Agency Corp, doing business as CallJolt (“CallJolt,” “Company,” “we,” “us,” “our”), and you, the individual or entity enrolling in the CallJolt Affiliate Program (“Affiliate,” “you,” “your”). By submitting an affiliate application or participating in the Program, you agree to the terms of this Agreement.


1. Program Description

The CallJolt Affiliate Program (“Program”) allows approved affiliates to earn commissions by referring new customers to CallJolt’s AI-powered phone answering service. Affiliates receive a unique referral link to track referrals and are compensated for each qualified customer activation as described in this Agreement.


2. Commission Structure

Affiliates earn a one-time commission for each referred customer who completes the 14-day free trial period and activates a paid subscription. Commission amounts are based on the customer’s selected plan:

  • Starter Plan: $150 per activation
  • Growth Plan: $200 per activation
  • Enterprise Plan: $250 per activation

“Activation” means the referred customer has completed their 14-day free trial period and their first paid subscription payment has been successfully processed. Commissions are not earned for customers who cancel during the trial period.


3. Payment Terms

Payment Schedule

Earned commissions are paid within 30 days of the referred customer’s activation date (i.e., after the 14-day trial period clears and the first payment is collected).

Payment Methods

Commissions are paid via ACH direct deposit or physical check, at the Affiliate’s preference. CallJolt reserves the right to add or modify available payment methods with reasonable notice.

Minimum Payout Threshold

A minimum balance of $50 in earned commissions is required before a payout is issued. Balances below $50 will roll over to the next payment cycle.


4. Referral Tracking

Each approved Affiliate receives a unique referral link. Referrals are tracked using browser cookies that remain valid for 30 days from the time a prospective customer clicks the Affiliate’s referral link. If a prospective customer signs up within the 30-day cookie window, the referring Affiliate receives credit for the referral.

CallJolt’s tracking system is the sole and authoritative method for determining referral credit. Disputes regarding referral attribution will be resolved at CallJolt’s reasonable discretion.


5. Affiliate Obligations

As a CallJolt Affiliate, you agree to:

  • Promote CallJolt in a professional, truthful, and ethical manner.
  • Only use marketing materials and messaging that are accurate and not misleading.
  • Comply with all applicable federal, state, and local laws, including the CAN-SPAM Act, FTC endorsement guidelines, and any other applicable advertising regulations.
  • Clearly disclose your affiliate relationship with CallJolt in any content, promotion, or communication where you reference or recommend CallJolt, in accordance with FTC guidelines.

6. Prohibited Conduct

Affiliates are strictly prohibited from:

  • Spam: Sending unsolicited bulk emails, text messages, or other communications to promote CallJolt.
  • Paid brand advertising: Running paid search ads (Google Ads, Bing Ads, social media ads, etc.) that bid on or include “CallJolt,” “Call Jolt,” or any variation of the CallJolt brand name as a keyword or in ad copy.
  • False or misleading claims: Making exaggerated, unsubstantiated, or false claims about CallJolt’s features, pricing, performance, or results.
  • Self-referrals: Referring yourself, your own business, or any entity you own or control in order to earn commissions.
  • Cookie stuffing: Using hidden iframes, pop-ups, or any technique to fraudulently set referral cookies without a user’s knowledge or intent.
  • Trademark misuse: Registering domain names, social media handles, or other identifiers that include “CallJolt” or confusingly similar terms without prior written consent.
  • Incentivized signups: Offering cash, gift cards, or other incentives directly to prospective customers to sign up through your referral link, unless expressly approved by CallJolt in writing.

Violation of any prohibited conduct may result in immediate termination of your affiliate account, forfeiture of unpaid commissions, and potential legal action.


7. Tax Requirements

Affiliates are solely responsible for reporting and paying all applicable taxes on commissions earned through the Program. In accordance with Internal Revenue Service (IRS) requirements:

  • Affiliates who earn $600 or more in commissions in a calendar year must provide a completed IRS Form W-9 (or W-8BEN for non-U.S. persons) before any further payments can be issued.
  • CallJolt will issue a Form 1099-NEC to affiliates who receive $600 or more in commissions in a calendar year, as required by the IRS.
  • Failure to provide the required tax documentation may result in withholding of commission payments until the documentation is received.

8. Intellectual Property

CallJolt grants Affiliates a limited, non-exclusive, non-transferable, revocable license to use CallJolt’s name, logo, and approved marketing materials solely for the purpose of promoting CallJolt under this Agreement. All intellectual property rights in the CallJolt brand, website, software, and materials remain the exclusive property of Twin Lightning Digital Agency Corp.

Affiliates may not modify, alter, or create derivative works from CallJolt’s trademarks or marketing materials without prior written approval.


9. Term and Termination

Term

This Agreement is effective upon acceptance of your affiliate application and continues until terminated by either party.

Termination

Either party may terminate this Agreement at any time by providing 7 days’ written notice to the other party via email. CallJolt reserves the right to terminate immediately and without notice in cases of fraud, prohibited conduct, or material breach of this Agreement.

Effect of Termination

Upon termination, your referral link will be deactivated and you will no longer earn commissions on new referrals. Commissions that were earned and confirmed prior to termination will still be paid in accordance with the payment terms of this Agreement, provided no violation of this Agreement has occurred.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLJOLT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE AFFILIATE PROGRAM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, OR LOSS OF DATA. CALLJOLT’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO THE AFFILIATE IN THE 12 MONTHS PRECEDING THE CLAIM.


11. Indemnification

You agree to indemnify, defend, and hold harmless Twin Lightning Digital Agency Corp, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your participation in the Affiliate Program.
  • Your promotional activities or marketing materials.
  • Your breach of this Agreement.
  • Your violation of any applicable law or regulation.

12. Modifications

CallJolt reserves the right to modify this Agreement, the commission structure, or any aspect of the Affiliate Program at any time. We will notify active affiliates of material changes via email at least 14 days before changes take effect. Continued participation in the Program after changes take effect constitutes acceptance of the modified terms.


13. Relationship of Parties

Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between CallJolt and the Affiliate. Affiliates are independent contractors and are solely responsible for their own taxes, insurance, and compliance with applicable laws. Affiliates have no authority to bind CallJolt or make representations on CallJolt’s behalf.


14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and the parties hereby consent to the personal jurisdiction and venue of such courts.


15. Entire Agreement

This Agreement constitutes the entire agreement between CallJolt and the Affiliate regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings, whether written or oral.
